SHIFTPOINTS Non-Disclosure Agreement
The parties to this Non-Disclosure Agreement (“Agreement”) are SHIFTPOINTS, Inc. (the “Company”) and the undersigned.
You and the Company are considering working together as independent entities, and in order to evaluate the possibility of such an arrangement, you will need access to certain information which the Company is willing to share with your under the following terms.
The Company owns or has rights to certain Proprietary Information to which you will be given access. Even though the Company gives you access, the Company still owns all the Proprietary Information, and neither this Agreement nor the access you receive to the Proprietary Information act to give you any rights or ownership in the Proprietary Information.
Unless you get prior written approval from the Company, you will not ever disclose the Proprietary Information to anyone else. You will safeguard the Proprietary Information to the best of your ability, treating it no worse than any reasonable person would treat his or her own proprietary information. If the company asks for the Proprietary Information back, you will return all copies.
You won’t ever use the Proprietary Information yourself, except to evaluate the prospects of forming a working relationship with the Company and for other permissible uses that might be granted to you by written consent of the Company.
If you violate the terms of this Agreement, the Company will be irreparably harmed, so the Company will be entitled, together with all other remedies at law or equity, to enforce this Agreement by specific performance or injunctive relief in accordance with the laws of the State of Virginia, without regard to its choice of law provisions; furthermore, for any disputes that may arise from this agreement you and the Company agree to submit to the exclusive jurisdiction of the courts located in Fairfax County Virginia, and you shall pay the reasonable costs, including attorney fees, of the Company in connection with such court action.
Provisions of this Agreement are to be treated as severable.
This is the entire agreement between you and the Company regarding this subject.
